Terms of Service

1. Agreement to These Terms
These Terms of Service (“Terms”) form a legally binding agreement between you (“Merchant”) and Assistant Intelligence (“we”, “us”, or “our”) governing your access to and use of the Assistant Intelligence platform, including our AI-powered chat widget, merchant dashboard, API, and all related services (collectively, the “Service”).
By registering for an account, clicking to accept these Terms, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.
If you are agreeing on behalf of a business or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity. If you do not have that authority, or if you do not agree with these Terms, you must not use the Service.
2. The Service
Assistant Intelligence provides an AI-powered chat widget that merchants embed on their e-commerce stores. The widget allows shoppers to ask product-related questions and receive AI-generated answers based on the merchant's uploaded product catalogue.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice where practicable. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.
3. Accounts and Registration
To access the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration and keep it updated.
- Maintain the confidentiality of your password and API keys. You are responsible for all activity that occurs under your account.
- Notify us immediately at support@assistant-intelligence.com if you suspect any unauthorised access to your account.
- Not share your account credentials with any third party.
We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe have been compromised.
4. API Keys and Widget Credentials
Upon creating a store, you will be issued an API key that authenticates your embedded widget. You acknowledge that:
- Your widget API key is a public-facing identifier intended to be embedded in HTML. It is scoped to widget operations only and cannot be used for administrative or account-level operations.
- Your dashboard API key (if applicable) must be kept confidential and used only in server-side code. You must not embed it in publicly accessible client-side code.
- You are responsible for any use of the Service made using your API keys, whether authorised by you or not.
- If you believe a key has been compromised, you must rotate it immediately using the key rotation feature in your dashboard.
- We store API keys as cryptographic hashes and cannot retrieve the raw key after initial display. You are responsible for storing keys securely at the time of creation.
5. Merchant Responsibilities and Acceptable Use
5.1 Product Data Accuracy
The AI assistant generates responses based solely on the product data you upload. You are solely responsible for:
- Ensuring that all product information, including prices, descriptions, availability, specifications, and any other details, is accurate and kept up to date.
- Any claims, representations, or statements made to shoppers as a result of AI responses generated from your data.
- Promptly updating or removing product data when information changes.
We make no warranty that the AI will accurately interpret, reproduce, or represent your product data, and we are not liable for any loss arising from inaccurate or outdated product information.
5.2 Acceptable Use
You agree not to use the Service to:
- Upload or distribute content that is unlawful, harmful, defamatory, obscene, or infringes any third-party rights.
- Attempt to reverse engineer, decompile, or extract the source code of the Service.
- Use the Service to train, fine-tune, or build competing AI models.
- Circumvent or attempt to circumvent rate limits, security controls, or access restrictions.
- Use automated scripts, bots, or other means to abuse the API beyond normal widget operation.
- Resell or sublicense access to the Service without our prior written consent.
- Use the Service in any way that violates applicable laws or regulations, including consumer protection and advertising laws in your jurisdiction.
5.3 Compliance with Laws
You are responsible for ensuring that your use of the Service — including the deployment of the widget on your store and the collection of any shopper interactions — complies with all applicable laws and regulations in your jurisdiction and the jurisdictions of your shoppers. This includes, where applicable, data protection laws such as GDPR, POPIA, and CCPA.
6. AI-Generated Content — Important Disclaimer
The chat widget uses artificial intelligence to generate responses. You acknowledge and agree that:
- AI-generated responses may be inaccurate, incomplete, outdated, or inappropriate. The AI does not guarantee factual correctness.
- We do not review, verify, or endorse any response generated by the AI.
- Shoppers should be encouraged to verify critical information (such as pricing or stock availability) directly with your store before making purchasing decisions.
- We are not responsible for any purchasing decisions, losses, or disputes arising from AI-generated responses delivered through your widget.
- You accept full responsibility for the consequences of deploying the AI widget on your store and for any interactions between the AI and your shoppers.
7. Fees and Payment
Access to certain features of the Service requires payment of fees as set out in our pricing page or as agreed between us in writing (“Subscription Fees”).
- Subscription Fees are billed in advance on a monthly or annual basis, depending on your chosen plan.
- All fees are non-refundable except as expressly stated in these Terms or as required by applicable law.
- We reserve the right to change our pricing at any time. We will provide at least 30 days' notice of any price increase, and the new pricing will take effect at your next renewal date.
- If payment fails, we may suspend your access to paid features until payment is resolved. Accounts with outstanding balances for more than 30 days may be terminated.
- You are responsible for all taxes applicable to your subscription in your jurisdiction.
8. Cancellation and Termination
8.1 Cancellation by You
You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that date.
8.2 Termination by Us
We may suspend or terminate your account immediately and without notice if:
- You breach any provision of these Terms.
- We are required to do so by law or regulatory authority.
- We reasonably believe your use of the Service poses a security risk or harm to other users.
We may also terminate your account with 30 days' notice for any other reason, including discontinuation of the Service.
8.3 Effect of Termination
Upon termination, your right to access and use the Service ceases immediately. We will delete your account data within 30 days of termination, except where retention is required by law. Sections 6, 9, 10, 11, and 12 of these Terms survive termination.
9. Intellectual Property
9.1 Our IP
The Service, including all software, algorithms, designs, and documentation, is owned by Assistant Intelligence or its licensors and is protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.
9.2 Your Data
You retain all ownership rights in the product data and content you upload to the Service (“Your Content”). By uploading Your Content, you grant us a limited, non-exclusive, royalty-free licence to store, process, and use Your Content solely for the purpose of providing the Service to you.
We do not use Your Content to train AI models or for any purpose beyond operating the Service.
10. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. This obligation does not apply to information that is or becomes publicly known through no breach of this agreement, or that must be disclosed by law.
11. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation.
We do not warrant that the Service will meet your specific requirements, that it will be available at all times, or that any defects will be corrected. Use of the Service is at your own risk.
12. Limitation of Liability
To the fullest extent permitted by applicable law:
- We will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising out of or in connection with the Service.
- Our total aggregate liability to you for any claims arising out of or related to these Terms or the Service will not exceed the total Subscription Fees paid by you in the three (3) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain types of liability. In such cases, our liability will be limited to the maximum extent permitted by applicable law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Assistant Intelligence and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Service in violation of these Terms.
- Your product data, including any claims by shoppers relating to the accuracy of AI responses generated from that data.
- Your violation of any applicable law or third-party rights.
14. Third-Party Services
The Service relies on third-party infrastructure and AI providers to operate. We are not responsible for the availability, performance, or practices of any third-party service. Your use of the Service does not create any relationship between you and our third-party providers.
15. Governing Law and Disputes
These Terms are governed by and construed in accordance with applicable law. Any dispute arising out of or in connection with these Terms that cannot be resolved amicably within 30 days of written notice shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction. Nothing in this clause limits either party's right to seek urgent injunctive relief.
16. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
- Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
- Notices: Notices to us must be sent to legal@assistant-intelligence.com. We may send notices to the email address associated with your account.
17. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or via an in-dashboard notice at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must cancel your account before the effective date.
